Terms of Service

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and TapClaw. We may update these Terms from time to time by posting the revised version on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, please discontinue using the Service.

2. Description of Service

TapClaw is a cloud-based platform that enables users to deploy and operate OpenClaw agents with a single click. Built on top of the OpenClaw open-source framework, TapClaw provides:

• One-click creation and deployment of OpenClaw agents in the cloud
• Managed cloud infrastructure including provisioning, configuration, and maintenance
• Web-based interface for managing your agents and associated settings
• Credits and model access for powering agent capabilities
• Automated updates, backups, and security management
• Technical support through designated channels

TapClaw does not control or take responsibility for the outputs, configurations, or third-party integrations you choose to run via your agents. OpenClaw is open-source software governed by its own license, and you are responsible for complying with that license independently of your use of TapClaw.

3. Eligibility

The Service is intended for users who are at least 18 years of age, or the age of legal majority in their jurisdiction, whichever is greater. By using the Service, you represent and warrant that you meet these eligibility requirements. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

4. Account Registration & Security

To access the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your account credentials
• Not share your account with any third party
• Accept responsibility for all activities that occur under your account
• Immediately notify us at contact@tapclaw.app if you suspect any unauthorized access

We reserve the right to suspend or terminate any account that, in our sole discretion, violates these Terms.

5. Subscription, Billing & Payment

5.1 Plans and Pricing

TapClaw offers various subscription plans as described on our pricing page. Fees are listed in US Dollars (USD) unless otherwise stated. All payments are processed securely through our third-party payment processor. By providing payment information, you authorize us to charge applicable fees to your payment method.

5.2 Recurring Billing

Subscriptions automatically renew each billing cycle (monthly or annually, as selected) at the then-current rate for your plan, unless cancelled before the renewal date. You authorize us to charge your payment method on file for each renewal period.

5.3 Credits

TapClaw offers prepaid credits used to power agent capabilities. Credits are purchased in advance and deducted based on usage. Credits are non-transferable, may not be resold, and do not expire while your account remains active, unless otherwise stated at the time of purchase.

5.4 Annual Plans

Annual subscriptions are billed upfront for twelve (12) months and automatically renew at the end of each term at the then-current annual rate, unless cancelled before the renewal date.

5.5 Failed Payments

If a payment fails, we will attempt to notify you and may retry the charge. Continued failure may result in suspension or termination of your access. You remain responsible for any unpaid amounts.

6. Cancellation & Payments

6.1 Cancellation

You may cancel your subscription at any time via account settings or by contacting us at contact@tapclaw.app. Upon cancellation, your access to the Service will remain active until the end of your current billing period, after which your account will be deactivated. You will not be charged for subsequent billing periods following cancellation.

6.2 No Refund Policy

ALL FEES AND CHARGES PAID TO TAPCLAW ARE NON-REFUNDABLE EXCEPT AS EXPRESSLY REQUIRED BY APPLICABLE LAW. This includes, but is not limited to, subscription fees, credits, and any other charges incurred through your use of the Service. By completing a purchase, you acknowledge and agree that you are not entitled to a refund under any circumstances other than those mandated by applicable law.

Payments may be made using a valid credit or debit card and are subject to validation and authorization by your card issuer. If authorization is not received, TapClaw will not be liable for any resulting delays or failures in service delivery. We reserve the right to correct any pricing errors or mistakes at any time, even after an invoice has been issued or payment has been received.

Any promotional credits, gifted balances, trial amounts, or vouchers issued by TapClaw are non-withdrawable, non-transferable, and non-invoiceable. TapClaw reserves the right to modify, limit, or discontinue any promotional offer at any time without prior notice.

6.3 Data After Cancellation

You are responsible for exporting any data you wish to retain before cancellation. Following cancellation, we may retain your data for a short period at our discretion, but we do not guarantee any retention period. Instance data may be permanently deleted at any time after cancellation and cannot be recovered.

7. Acceptable Use Policy

You agree to use the Service only for lawful purposes. You agree not to:

• Violate any applicable local, national, or international law or regulation
• Infringe upon any intellectual property or privacy rights of any third party
• Upload, transmit, or distribute malware, viruses, or any malicious code
• Engage in spam, phishing, or unsolicited commercial communications
• Attempt unauthorized access to or disruption of the Service or its infrastructure
• Use the Service for cryptocurrency mining, DDoS attacks, or excessive compute abuse
• Store, process, or transmit content that is illegal, defamatory, or harmful to minors
• Resell, sublicense, or redistribute access to the Service without our written consent

We reserve the right to investigate and take appropriate action, including account suspension or termination and reporting to law enforcement authorities, for violations of this policy.

8. Intellectual Property

8.1 TapClaw Property

The TapClaw platform, website, proprietary tooling, APIs, branding, logos, and documentation are the exclusive property of TapClaw and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our proprietary materials without prior written consent.

8.2 Open Source Software

OpenClaw and certain components used in the Service are open-source software governed by their respective licenses. Your use of these components is subject to those licenses. TapClaw's proprietary additions and infrastructure are not covered by OpenClaw's license.

8.3 Your Content

You retain all rights to content and data you create, upload, or process through the Service. By using the Service, you grant TapClaw a limited, non-exclusive license to store, process, and transmit your content solely as necessary to provide the Service.

9. Privacy

Your privacy is important to us. Our Privacy Policy, incorporated into these Terms by reference, explains how we collect, use, and protect your information. By using the Service, you consent to the data practices described in our Privacy Policy.

10. Third-Party Services & Integrations

The Service may integrate with or link to third-party services, APIs, or platforms. TapClaw is not responsible for the availability, accuracy, security, or content of third-party services. Your interactions with third parties are governed by their respective terms and privacy policies. We encourage you to review those policies before use.

10.1 Google Workspace Integration

TapClaw offers integration with Google Workspace services. By connecting your Google account, you authorize TapClaw to access the following Google data on your behalf:

• Google Drive (app files): Create, read, and edit files you open or create through TapClaw
• Google Calendar: View, create, and manage calendar events
• Google Contacts: Look up and manage contact information
• Google Tasks: View, create, and manage task lists
• Google Sheets: Read, create, and edit spreadsheets
• Google Docs: Read, create, and edit documents
• Gmail (send only): Send emails on your behalf (TapClaw does not read your inbox)

You may revoke this authorization at any time through your Google account settings. Upon revocation, TapClaw will cease accessing your Google data immediately and will not retain any Google user data previously accessed through the integration.

Your use of Google services remains subject to Google's Terms of Service and Privacy Policy. TapClaw's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TAPCLAW, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO TAPCLAW IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless TapClaw and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you upload or process through the Service.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including for violations of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including intellectual property, disclaimer of warranties, limitation of liability, and indemnification clauses.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law. Any dispute arising from these Terms or the Service shall first be attempted to be resolved informally by contacting us at contact@tapclaw.app. If informal resolution fails, disputes shall be subject to binding arbitration or the jurisdiction of competent courts, as applicable under your local law.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and TapClaw regarding the Service and supersede all prior agreements and understandings.
